(hereinafter “HUB” or “the MDH”) reserves the right to update or revise these terms and conditions without giving you notice; please review these terms and conditions periodically for changes. Your continued use of this site following the posting of any changes to these terms and conditions indicates your acceptance of said changes.

Welcome to the portal http://www.mtydigitalhub.com (hereinafter the “Portal”), property of Monterrey Digital Hub, S. de R.L. de C.V. The Portal is offered to you (hereinafter the “User”) free of charge under the condition precedent that you fully accept the terms, conditions and communications contained in these terms and conditions of use (hereinafter “General Conditions”). The fact that you use the Portal constitutes by itself your acceptance of the General Conditions. If the User does not accept the General Conditions, they must refrain from using the Portal. In the event that the User continues to use the Portal, said action will be considered as absolute acceptance of all the General Conditions.

  1. OBJECT
    Through the use of the Portal, the HUB offers and facilitates Users access and use of various services and content (hereinafter, the “Services”), made available to Users by the HUB or by third-party contracted service providers. by the HUB. The provision of the Services by the HUB is free of charge for Users and does not require prior subscription or registration of the user.
  2. RIGHTS OF PROPERTY AND USE OF TRADEMARKS
    Everything contained in the Portal, both the text and the graphics, logos, icons, images, audio clips and software, are the property of the HUB and their rights are protected by the Industrial Property Law and its Regulations, and by treaties international. The reproduction, modification, distribution, transmission, republication, exhibition or execution of the content on the Portal, without the proper written authorization of the HUB, is strictly prohibited. The Monterrey Digital Hub brand and its logos are in process and legally registered in Mexico, as well as in other countries. The User is expressly prohibited from modifying, altering or deleting, either totally or partially, the notices, brands, Trade names, signs, advertisements, logos or in general any indication that refers to the ownership of the information contained in the Portal.
  3. REGISTRATION ONLINE SERVICES FOR INFORMATION REQUEST
    Only to request information about the HUB, the User must fill out an online application (hereinafter the “Application”), with the understanding that upon completing the application process and pressing the button “I accept these Conditions / Send Application” found at the end of the Application, the User is sending the Application electronically and agrees to be bound by these General Conditions.
  4. USE OF WEB SERVICES

Within the Online Services offered by this Portal, those of About, Membership, Trainings, Workspace, Events, Resources and Contact Us are offered. As a merely indicative but not exhaustive title, the User undertakes to refrain from performing the following actions when using a service:

  • Defame, insult, harass, stalk, threaten or otherwise violate the rights (such as the right to privacy or one’s own image) of third parties.
  • Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, abusive, obscene, indecent or unlawful topic, name, information or material.
  • Upload files that contain software or any other material protected by intellectual property regulations (or by rights to privacy and image), except if you manage or own such rights or have received all necessary licenses to perform such performances.
  • Upload files that contain viruses, defective files, or any other similar software or computer programs that may impair the operation of third-party computers.
  • Advertise or offer for sale any products or services for commercial purposes.
  • Conduct or submit surveys, contests, pyramid schemes, or chain letters.
  • Falsify or remove any indications of authorship, legal or other communications, proprietary designations or labels indicating the origin or source of the software or any other material contained in an uploaded file.
  • Limit or prevent any other user from using and enjoying the Communities.

The HUB reserves the right to cancel, for any reason, access to any or all of the Services, at any time, without prior notice and without any liability. The HUB is not obligated to monitor the Services. However, the HUB reserves the right to disseminate at any time that information that is necessary to comply with applicable legislation or regulations, or as specifically required by legal processes or administrative requirements; Likewise, the HUB reserves the right to publish, refuse to publish or withdraw, totally or partially, any information or materials, at its sole discretion.

  1. PRIVACY RIGHT

The HUB guarantees the User the right to Privacy in accordance with its Privacy Policy. The User accepts that the HUB may have access to his account to respond to the requests for information made by the User.

  1. LIMITATIONS ON LIABILITY.

To the fullest extent permitted by applicable law, the HUB will not be liable, in any event, for any direct, special, incidental, indirect, or consequential damages in any way (including without limitation, damages for business interruption, loss of data, or any other pecuniary loss) that derive from or are related to (i) the use or execution of the Portal and its Services, (ii) with the delay or lack of availability of use of the Portal, (iii) the supply of or lack of provision of the Services, of any information or graphics contained or published on or through the Portal, (iv) of updating or lack of updating of the information, (v) that the information has been altered or modified, in all or in part, after being included in the Portal; (vi) any other aspect or characteristic of the information contained or published on the Portal or through the links that are eventually included therein (iv) the provision of or lack of provision of the Services. The HUB does not assume any responsibility for the way in which the User uses the information contained or published in or through the Portal and/or the Services. Users are recommended to verify this information by their own means when making a decision based on it. The User in all cases must always go before a technical or administrative advisor, as the case may be. Although the information on this Portal is considered accurate, it may contain technical inaccuracies or typographical errors. The HUB will strive to update the content of the Portal constantly. The HUB does not guarantee that the Portal will satisfy the User’s requirements, or that the Services will always be uninterrupted, on time, secure or free of errors.

  1. INDEMNITY.

The User agrees to indemnify the HUB, from any action, demand or claim, (including legal fees and legal costs) derived from any breach by the User of these General Conditions including, without limitation, those derived: ( i) for any aspect related to the use of the Portal and its Services, of the information contained in or through the Portal; (ii) for libel, defamation or any other violative conduct of the User when using the Portal, (iii) for violation of laws or international treaties relating to copyright or intellectual property contained or available on or through the Portal or (iv ) for the use of the Portal and its Services by any unauthorized person who accesses the Portal, using the User Name, Password and/or User Email.

  1. UNLAWFUL OR PROHIBITED USE

The use of this Portal for illegal or unauthorized purposes by these General Conditions is strictly prohibited.

  1. COOKIES

A cookie is any text string that is installed on the hard drive of the User’s computer and each time the User enters the Portal it sends information that will be used to identify the user. The User accepts that the HUB, through the Portal, automatically installs a Cookie on his computer.When clicking on the “Accept” button, the User accepts that the MDH, through the Portal, installs a Cookie on their computer.

  1. VALIDITY AND RIGHT OF TERMINATION

This agreement will be valid indefinitely. Notwithstanding the foregoing, the User accepts that the HUB may cancel the Username and Password of any User for misuse of the Portal, for violations of these General Conditions or for any other reason, at the discretion of the HUB at any time, without notice.

  1. RIGHT TO MODIFY

The HUB reserves the right to unilaterally modify, at any time and without prior notice, the presentation and configuration of the Portal, as well as reserves the right to modify or eliminate, at any time and without prior notice, the Services and the conditions required to access and/or use the Portal and the Services.

  1. SUSPENSION OF SERVICES

The HUB will have at all times without any responsibility, the power to temporarily suspend the provision of Services.

  1. TRANSACTIONS WITHIN THE PAGE

The MDH Portal allows for transactions. These transactions will be made through OpenPay.

  1. APPLICABLE LAW AND JURISDICTION

The User, when using the Portal, expressly agrees to submit to the jurisdiction of the courts of Monterrey, State of Nuevo León, Mexico, as well as the substantive and procedural laws applicable to the specific case in force in said State, expressly waiving to any other jurisdiction that may correspond to you now or in the future due to your nationality, residence or place of business, to resolve any dispute that may arise as a result of the interpretation, compliance or execution of the provisions of these General Conditions, as well as as well as for the purposes of regulating commercial operations that occur between the User and the HUB, in case of any controversy.

El Portal le es ofrecido a usted (en adelante el “Usuario”) de forma gratuita bajo la condición suspensiva de que acepte íntegramente los términos, condiciones y comunicaciones contenidos en los presentes términos y condiciones de uso (en adelante “Condiciones Generales”). El hecho de que usted use el Portal constituye por sí solo su aceptación de las Condiciones Generales. Si el Usuario no acepta las Condiciones Generales deberá abstenerse de utilizar el Portal. En caso de que el Usuario continúe el uso del Portal, dicha acción se considerará como absoluta aceptación a todas las Condiciones Generales.

  1. OBJETO

Mediante el uso del Portal, el HUB ofrece y facilita a los Usuarios el acceso y la utilización de diversos servicios y contenidos (en adelante, los “Servicios”), puestos a disposición de los Usuarios por el HUB o por terceros proveedores de servicios contratados por el HUB. La prestación de los Servicios por parte del HUB tiene carácter gratuito para los Usuarios y no exige la previa suscripción o registro del Usuario.

  1. DERECHOS DE PROPIEDAD Y USO DE MARCAS

Todo lo contenido en el Portal, tanto el texto como las gráficas, logos, íconos, imágenes, audio clips y software, son propiedad del HUB y se encuentran protegidos sus derechos por la Ley de la Propiedad Industrial y su Reglamento, y por los tratados internacionales. La reproducción, modificación, distribución, transmisión, republicación, exhibición o ejecución de lo contenido en el Portal, sin la debida autorización por escrito del HUB, se encuentra estrictamente prohibida. La marca Monterrey Digital Hub, y sus logotipos se encuentran en trámite y legalmente registrados en México, así como en otros países.. Se prohíbe expresamente al Usuario modificar, alterar o suprimir, ya sea en forma total o parcial, los avisos, marcas, nombres comerciales, señas, anuncios, logotipos o en general cualquier indicación que se refiera a la propiedad de la información contenida en el Portal.

  1. REGISTRO SERVICIOS EN LÍNEA PARA LA SOLICITUD DE INFORMACIÓN

Únicamente para solicitar información sobre el HUB, el Usuario deberá llenar una solicitud de registro en línea (en adelante la “Solicitud de Registro”), en el entendido que al completar el proceso de registro y oprimir el botón “Acepto Condiciones / Enviar Solitud” que se encuentra al final de la Solicitud de Registro, el Usuario está enviando la Solicitud de Registro vía electrónica y acepta quedar obligado por la totalidad de estas Condiciones Generales.

  1. USO DE SERVICIOS WEB EN LINEA

Dentro de los Servicios en Línea que ofrece el presente Portal, se ofrecen los de [*Courses,Memberships,Shared Services,Upcoming Events, Past Events, Members Catalog, About MDH*] .A título meramente indicativo pero no exhaustivo, el Usuario se obliga a abstenerse de realizar las siguientes actuaciones cuando esté usando un servicio:

  • Difamar, injuriar, acosar, acechar, amenazar o violar de cualquier otra forma los derechos (tales como el derecho a la intimidad o a la propia imagen) de terceros.
  • Publicar, anunciar, cargar, distribuir o divulgar cualquier asunto, nombre, información o material inapropiados, profanos, difamatorios, abusivos, obscenos, indecentes o ilegales.
  • Cargar archivos que contengan software o cualquier otro material protegido por la normativa sobre propiedad intelectual (o por los derechos a la intimidad y a la propia imagen), excepto si usted gestiona o es titular de tales derechos o ha recibido todas las licencias necesarias para realizar dichas actuaciones.
  • Cargar archivos que contengan virus, archivos defectuosos o cualquier otro software o programa informático similar que pueda perjudicar el funcionamiento de ordenadores de terceros.
  • Anunciar u ofrecer a la venta cualesquiera productos o servicios con fines comerciales.
  • Llevar a cabo o remitir encuestas, concursos, planes piramidales o cartas en cadena.
  • Falsificar o suprimir indicaciones de autoría, comunicaciones legales o de otro tipo, designaciones de propiedad o etiquetas indicativas del origen o la fuente del software o de cualquier otro material contenido en un archivo cargado.
  • Limitar o impedir a cualquier otro usuario el uso y disfrute de las Comunidades.

El HUB se reserva el derecho de cancelar, por cualquier causa, el acceso a alguna o a todos los Servicios, en cualquier momento, sin necesidad de previo aviso y sin responsabilidad alguna. El HUB no está obligada a supervisar los Servicios. Sin embargo, el HUB se reserva el derecho de difundir en cualquier momento aquella información que sea necesaria para dar cumplimiento a la legislación o reglamentación aplicables, o a lo específicamente requerido por procesos legales o requerimientos administrativos; asimismo, el HUB se reserva el derecho a publicar, negarse a publicar o retirar, total o parcialmente, cualesquiera informaciones o materiales, a su exclusiva discreción.

  1. DERECHO DE PRIVACIDAD

El HUB garantiza al Usuario el derecho de Privacidad de conformidad con su Política de Privacidad. El Usuario acepta que el HUB puede tener acceso a su cuenta para responder a las solicitudes de información que haga el Usuario.

  1. LIMITACIONES A LA RESPONSABILIDAD.

Hasta el máximo permitido por las leyes aplicables, el HUB no será responsable, en ningún caso, por cualesquier daños directos, especiales, incidentales, indirectos, o consecuenciales que en cualquier forma (incluyendo sin limitación alguna, daños por interrupción de negocios, pérdida de datos, o cualesquier otra pérdida pecuniaria) que se deriven o se relacionen con (i) el uso o ejecución del Portal y sus Servicios, (ii) con el retraso o falta de disponibilidad de uso del Portal, (iii) la proveeduría de o falta de proveeduría de los Servicios, de cualesquier información o gráficos contenidos o publicados en o a través del Portal, (iv) de la actualización o falta de actualización de la información, (v) que la información haya sido alterada o modificada, en todo o en parte, luego de haber sido incluida en el Portal; (vi) cualquier otro aspecto o característica de la información contenida o publicada en el Portal o a través de las ligas que eventualmente se incluyan en el mismo (iv) la proveeduría de o falta de proveeduría de los Servicios. El HUB no asume responsabilidad alguna por la forma en que el Usuario emplee la información contenida o publicada en o a través del Portal y/o de los Servicios. Se recomienda a los Usuarios que verifiquen esta información por sus propios medios al momento de tomar una decisión basada en ésta. El Usuario en todos los casos deberá acudir siempre ante un asesor técnico o administrativo, según sea el caso. No obstante que la información de este Portal se considera exacta, es posible que contenga inexactitudes técnicas o errores tipográficos. El HUB se esforzará por actualizar el contenido del Portal de forma constante. El HUB no garantiza que el Portal satisfaga los requerimientos del Usuario, o que los Servicios se mantengan siempre ininterrumpidos, en tiempo, seguros o libres de errores.

  1. INDEMNIZACIÓN.

El Usuario está de acuerdo en indemnizar al HUB, de cualquier acción, demanda o reclamación, (incluso de honorarios de abogados y costos judiciales) derivadas de cualesquier incumplimiento por parte del Usuario a las presentes Condiciones Generales incluyendo, sin limitación alguna las derivadas: (i) por cualquier aspecto relativo al uso del Portal y sus Servicios, de la información contenida en o a través del Portal; (ii) por injurias, difamación o cualesquier otra conducta violatoria del Usuario en uso del Portal, (iii) por violación a las leyes o tratados internacionales relativos a los derechos de autor o propiedad intelectual contenidos o disponibles en o a través del Portal ó (iv) por el uso que del Portal y sus Servicios realice cualquier persona no autorizada que acceda al Portal, utilizando el Nombre de Usuario, la Contraseña y/o el Correo Electrónico del Usuario.

  1. USO ILEGAL O PROHIBIDO

El uso de este Portal con fines ilegales o no autorizados por las presentes Condiciones Generales está estrictamente prohibido.

  1. COOKIES

Una cookie es cualquier cadena de texto que se instala en el disco duro de la computadora del Usuario y cada vez que el Usuario entra al Portal envía información que se utilizara para identificar al usuario. El Usuario acepta que el HUB, a través del Portal, instale automáticamente un Cookie en su computadora.

  1. VIGENCIA Y DERECHO DE TERMINACION

El presente acuerdo tendrá una vigencia indefinida. No obstante lo anterior el Usuario acepta que el HUB podrá cancelar el Nombre de Usuario y Contraseña de cualquier Usuario por el mal uso del Portal, por violaciones a las presentes Condiciones Generales o por cualquier otro motivo, a discreción del HUB en cualquier momento, sin aviso previo.

  1. DERECHO DE MODIFICAR

El HUB se reserva el derecho a modificar unilateralmente, en cualquier momento y sin aviso previo, la presentación y configuración del Portal, así como también se reserva el derecho a modificar o eliminar, en cualquier momento y sin previo aviso, los Servicios y las condiciones requeridas para acceder y/o utilizar el Portal y los Servicios.

  1. SUSPENSION DE LOS SERVICIOS

El HUB tendrá en todo momento sin responsabilidad alguna, la facultad de suspender temporalmente la prestación de los Servicios.

  1. LEY APLICABLE Y JURISDICCIÓN

El Usuario, al hacer uso del Portal, acepta de manera expresa someterse a la jurisdicción de los tribunales de Monterrey, Estado de Nuevo León, México, así como a las leyes sustantivas y procedimentales aplicables para el caso concreto vigentes en dicho Estado, renunciando expresamente a cualquier otra jurisdicción que por motivo de su nacionalidad, residencia o lugar de negocios pudiese corresponderle ahora o en el futuro, para resolver cualquier controversia que se suscite con motivo de la interpretación, cumplimiento o ejecución de lo estipulado en las presentes Condiciones Generales, así como para efectos de regular las operaciones comerciales que se den entre el Usuario y el HUB, en caso de cualquier controversia.
